Please make sure that you (‘the buyer’) read the following Terms and Conditions (‘conditions of sale’) before you order (‘purchase’, ‘attempt to purchase’, ‘request’) any goods (‘the product’) offered for sale on this website (www.noovo-shop.co.uk) from Noovo Ltd (‘the company’, ‘we’, ‘us’, ‘our’, ‘the seller’). If you order any product from this website, you are agreeing to be bound by the conditions of sale. If you do not agree to be bound by the conditions of sale, then please do not order any items from us.
Conditions
- Your statutory rights are not affected by these Terms and Conditions of sale.
- We may change amend restrict of remove any parts of these conditions of sale and any parts/content of the website at any time without prior notice to you. It is your responsibility to check if any changes have been made and if you continue to order goods, then you agree to be bound by those changes.
- Acceptance of any order placed by you via email shall be acknowledged by email sent by us (your receipt of which we do not warrant). Acceptance will confirm name, address for delivery, cost of goods to be shipped with delivery charges, and any other information required by Statute if not referred to herein.
- If you place an order by facsimile to +44 1202 821754 or by post to our address then acceptance shall be deemed by way of return fax to the number used by you or by telephone. We shall not confirm acceptance of any orders using the postal system alone.
- If you place an order by telephone, acceptance shall be made by us in that telephone call.
- Any description of goods on our website, whether volume, content, weight or dimensions, are those provided by the original manufacturer and are not to be relied upon by you. Such descriptions do not form part of these conditions of sale.
- We will attempt to despatch all items purchased from us the following working day from the date your order is placed.
Prices
- All prices quoted by Noovo Ltd are inclusive of VAT at 17.5%.
- All prices of goods on our website are correct at the time of uploading. We are not responsible for any mistakes/inaccuracies or price increases effected at any time (including in the time between you viewing or placing your order and acceptance of it by us). If there is a price change, we shall give you the choice of accepting the correct price, or cancelling your order. In this particular circumstance acceptance of your order will not be given by us until you have agreed to the price. Where you have ordered more than one product, and the price of one of the products has changed or is different to that you have requested, then your whole order shall be held back until we receive your agreement to the price of that product(s).
Payment
- All payments shall be made in pounds sterling (GBP). Please be aware that we cannot be liable for any currency fluctuations.
- Payments may be made by the following: PayPal, Cheque or Bank Transfer.
- Payments by the above method may be made using the website or by telephone at +44 1202 828648 between 09:00 and 17:00 GMT Monday to Friday.
- Orders will not be processed until payment has been received in cleared funds.
- All goods remain the property of us until payment is received in full.
- If we are unable to fulfil your order in its entirety, we shall notify you by email of this and shall either offer you suitable items as replacement (so that you may change your order or cancel it in part or in full), and where there are no suitable replacement items and you cancel any or part of your order, then we shall credit your payment card with the full amount of the purchase price of the unavailable item(s) as soon as is practicable and in any event not later than 30 days from the date of your order.
Delivery
- We will attempt to despatch all items purchased from us the following working day from the date your order is placed.
- Delivery times are governed by our carriers, and are approximate.
- No warranties are given with regard requests for specified delivery times. All delivery approximations are quoted from when the order is despatched to the package reaching its destination.
- All delivery addresses shall be those supplied by you. No warranties are given with regard suitability of address for delivery. It is your responsibility to ensure that someone is available to accept delivery. In the event of the delivery not being effective due to the recipient being unavailable, uncontactable or not present, then we reserve the right for the goods to be returned to us, retain the cost of the shipping and if the goods are in satisfactory condition, we will consider a discretionary refund of the remainder.
- We may deliver the ordered products in instalments if the goods are not available at the same time and if you are happy for us to do so. You must expressly indicate at the time of ordering if you are not happy for this to happen.
Taxes/Duties/Customs
- You the buyer will be responsible for any local taxes or import duties or other local charges levied on your order in your country of residence or delivery address. It is you the buyer’s responsibility to ascertain by checking with the relevant organisations what those taxes, import duties or local charges will be so that you are fully prepared. We, Noovo Limited, have no control over these charges and cannot or will not predict what they may be.
- You the buyer confirm that if there is a legal age limit or minimum for purchase of various items in your country of residence or delivery address then you comply with that legal requirement for all items purchased from us. Any liability resulting from seizure of goods by Customs officials whether for payment of taxes, import duty or local charges or for failure to comply with legal age requirements is yours.
Returns/Refunds
- Under the Distance Selling Regulations and if you are a consumer, you have rights to cancel parts of your order and obtain a refund.
- If you wish to cancel your order you must contact us within 7 working days of the day of delivery of the order from the carrier.
- If you require a refund then you will need to return the products to us – kindly contact us via email first for a return of items code and then return the box with the contents in the same condition that they were when they arrived. They must remain in their original condition, be undamaged and not have been tampered with in any way. You will be liable for any damage incurred in transit. The goods must be securely wrapped with all the original packaging and you must also include an indication of the reason why the goods are being returned.
- We cannot accept the return of goods that are liable to deteriorate or expire rapidly such as food, we cannot accept items that cannot be returned for hygiene reasons or newspapers/periodicals/magazines or any products that are made to your personal specifications or personalised in any way. Neither can we accept items such as audio or video or computer equipment or software that has been unsealed by you.
- We must have received the returned goods within 14 working days from the date of cancellation of the original order by you, failing which a refund will not be available. All refunds will be made by way of credit to your PayPal account or whichever method was used to purchase the items and a credit will be made as soon as is reasonably practicable and in any event no later than 30 days from the date of receipt of the returned goods.
- Liability for the cost of returning the products rests with you the buyer however for goods returned due to error then this sum will be refunded to you upon provision of a valid receipt therefore by you to us.
Risk and Liability
- Risk in the goods shall pass to you the buyer on collection from our Depot by the carrier for despatch.
- We, Noovo Ltd, will not be liable or responsible for any loss or damage caused in transit or caused by searches performed by Customs officers whether in this country or in the destination country. We, Noovo Ltd, offer no warranty or guarantee on any items offered on our website, use of our website and any purchases made by way of order are at the buyer’s own risk. Noovo Ltd will not be liable for any indirect or consequential loss or damage suffered by you at all or for any loss of business, goodwill, reputation or capital suffered arising out of or in connection with this agreement or your use of our services in any way. Our liability for any claim you may make against us for whatever reason is limited in value to that of the order placed by you and the value of the goods delivered to you under this agreement. For the avoidance of doubt we are not limiting or excluding our liability for (a) death or personal injury arising from our negligence (b) any fraudulent misrepresentation or (c) any warranties implied by any Act in force in England and Wales. Any and all other representations, conditions and warranties whether express or implied by statute or otherwise are excluded to the fullest extent permitted by the law of England and Wales.
- We reserve the right to cancel your order for any time up until the time of despatch upon which a cancellation refund shall be made to you in respect of all monies paid relating to that order. Compensation will not be available.
Intellectual Property
- Noovo Ltd reserve all rights in relation to intellectual property items that include but are not restricted to copyright and trademarks or registered trademarks.
- No permission is granted for reproduction of any material in part or full from this website without the prior written permission of Noovo Ltd. Reproduction of material includes modification, distribution, transmission, display, adaptation, alteration, republication or creation of derivative works. Also included is the re-use of any material appearing on this website. Any use of materials subject to intellectual property rights is wholly prohibited.
General
- We shall not be liable to you in any way for any delay in or failure of performance of our obligations under this agreement arising from any cause that is beyond our reasonable control that include but not restricted to:- Acts of God, governmental acts, war, terrorism, fire, flood, explosion or civil commotion, failure in information technology or telecom services, failure of a third party (including failure to deliver for whatever reason), industrial action and any restrictions imposed at local or government or any level. If any part of this agreement is found to be void or unenforceable then that part shall be removed with the remaining clauses of the agreement retaining their validity and enforceability.
- No variation to this agreement will be accepted unless in writing and signed by or on behalf of each party. A valid contract will be deemed entered into between the parties upon acceptance of your order by us.
- Any/all information required and disclosed by you to us will not be disclosed to any unnecessary third parties. All information is stored on a secure server.
- Nothing contained on this website confers on any third party benefits under the provisions of the Contracts (Rights of Third Parties) Act 1999.
- Each delivery of your order constitutes a separate contract and is concluded upon delivery of the order, subject to your rights of cancellation.
- The contract itself shall be construed in accordance with the laws of England and Wales and shall be subject to the exclusive jurisdiction of the English Courts. For the avoidance of doubt, these Terms are compliant with The Consumer Protection (Distance Selling) Regulations 2000.
